By accessing or using the MLSOFT website and platform, you agree to comply with this Privacy Policy and our Terms of Use. If you do not agree with any part of this policy, please discontinue use.

All platform features, content, AI agents, designs, and documentation are the intellectual property of MLSOFT or its content partners. You may not reproduce, distribute, or repurpose any content without explicit written consent.

Ownership and Use of Content

All content hosted on MLSOFT—including documents, diagrams, summaries, agent workflows, prompt libraries, and platform UI—is protected by copyright, trademark, and proprietary rights. Users are granted a limited, non-transferable license to use these materials within the MLSOFT environment only.

Any use outside this scope—such as copying, redistributing, or integrating with unauthorized tools—is prohibited unless expressly approved.

Links to Third-Party Websites:

MLSOFT may offer integrations with third-party platforms (e.g., Slack, Jira, GitHub, Teams). These integrations are offered for your convenience and operational efficiency.

We do not control third-party privacy practices and encourage users to review the privacy policies of each connected service before use. Your engagement with third-party systems is at your own discretion.

Limitation of Liability:

While MLSOFT takes extensive security and reliability measures, we do not guarantee uninterrupted access or error-free operation of the platform.

MLSOFT disclaims any liability for damages arising from platform use, including system downtime, data loss, unauthorized access, or misconfiguration caused by third-party services.

Indemnification:

You agree to indemnify and hold harmless MLSOFT, its team, affiliates, and partners from claims, losses, or damages resulting from your use of the platform in violation of these terms or in breach of applicable data protection laws.

Modifications to Terms and Conditions of Use:

We may update this Privacy Policy periodically. Updates will be reflected on this page, and your continued use of MLSOFT after changes implies consent.

You are responsible for reviewing this policy regularly.

Governing Law and Jurisdiction:

This policy is governed by the laws of the Province of Ontario, Canada. Any disputes arising from the use of MLSOFT shall fall under the exclusive jurisdiction of the courts located in Toronto, Ontario.

R.1 General Resale Restriction

MLSOFT(mlsoft.ai Inc.) grants customers, partners, and channel resellers the right to use the MLSOFT services solely in accordance with the applicable subscription, licence, or partner agreement. Unless MLSOFT has provided its prior express written consent in each specific case, no customer, partner, distributor, reseller, marketplace vendor, systems integrator, or any other third party (collectively, "Resellers") is permitted to resell, sublicense, assign, transfer, provision access to, or otherwise make the MLSOFT services available to any third party.

R.2 Prohibition on Resale or Supply to Ontario Government

Notwithstanding any other provision of these Terms, and without limiting Section R.1 above, no Reseller or customer shall, without MLSOFT's prior express written consent in each specific instance:

(a) Resell, sublicense, assign, transfer, provision access to, or otherwise make the MLSOFT services available, directly or indirectly, to:

• The Government of Ontario, including any ministry, ministry office, Cabinet Office, or any office of the Crown in right of Ontario;
• Any Ontario arm's-length public body, agency, board, commission, tribunal, Crown corporation, or other public entity established by or under an Ontario statute; or

(b) Enter into any agreement, subcontract, or arrangement under which an Ontario Public Sector Entity is an end user, beneficiary, authorized user, or permitted user of the MLSOFT services, whether directly, through a subcontract, or as part of a bundled, white-label, or managed service offering.

R.3 Consequences of Breach

Any resale, sublicence, transfer, or supply of the MLSOFT services to an Ontario Public Sector Entity in contravention of Section R.2 is void and constitutes a material breach of these Terms and any applicable agreement between MLSOFT and the Reseller or customer. MLSOFT reserves all rights and remedies available at law or in equity in connection with any such breach, including without limitation:

• Immediate suspension or termination of the breaching party's access to the MLSOFT services;
• Recovery of all amounts paid or owing under the applicable agreement;
• Pursuit of injunctive relief or other equitable remedies without the requirement to post bond or other security;
• Any other legal remedies available under applicable law.

R.4 Customer and Reseller Warranty

Each customer and Reseller represents and warrants, on a continuing basis, that:

(a) It will not, without MLSOFT's prior written consent, resell, transfer, sublicence, or otherwise provide access to the services to any Ontario Public Sector Entity; and

(b) It will promptly notify MLSOFT in writing (at info@mlsoft.ai) if it becomes aware that any Ontario Public Sector Entity is accessing or using the MLSOFT services through such customer or Reseller, directly or indirectly.

R.5 Direct Engagements with Ontario Public Sector Entities

Notwithstanding the foregoing, MLSOFT may, in its sole discretion and after its own independent conflict-of-interest review, provide prior written consent for specific, identified agreements directly between MLSOFT and a named Ontario Public Sector Entity. Any such consent shall:

• Be limited to the specific transaction, term, and entity identified in writing by MLSOFT;
• Not constitute a general waiver of this Section; and
• Be subject to any conditions that MLSOFT may impose in its sole discretion, including compliance with applicable public procurement rules and conflict-of-interest requirements under the Public Service of Ontario Act, 2006 and Ontario Regulation 381/07.

R.6 Rationale

This restriction is maintained by mlsoft.ai Inc. to ensure compliance with applicable conflict-of-interest obligations under Ontario public-sector law and to protect the integrity of its personnel and governance processes. MLSOFT does not accept any liability arising from any unauthorized resale or supply to Ontario Public Sector Entities made without MLSOFT's prior written consent.
